Wahed’s IRA Incentive Program Terms and Conditions

The following terms and conditions govern participation in the Wahed Invest LLC ‘’IRA Incentive’’ program (the ‘’Program,’’ and, collectively, the ‘’Terms & Conditions’’). These Terms & Conditions aim to keep the Program transparent, fair and balanced, accessible to all United States residents and/or citizens who reside currently in the United States for Eligible Clients of Wahed Invest LLC (collectively, the ‘’Eligible Clients), by rewarding Eligible Clients for opening and retaining an account with Wahed Invest LLC (the ‘Firm’’ and/or ‘Wahed”). By participating in the Program, you agree to abide by these Terms & Conditions; failure to do so may result in the forfeiture to collect your Program rewards. In turn, please read the following details of the Program’s Terms & Conditions carefully.

1. Eligibility

Who is eligible to receive this reward?

Eligible Client All new and existing clients. Eligible clients will be able to take advantage of the program until the end of July 2024.

2. Rewards

Wahed will credit one’s Wahed Invest Account with a cash reward(s) only after an Eligible Client has met all the eligibility under the Program’s Terms & Conditions. Such criteria includes, but is not limited to, the Eligible Client’s opening a individual account with Wahed, if they do not already have an existing account, in which Wahed would deposit eligible rewards pursuant to Program eligibility, as specified in the Tier Arrangement as follows:

3. Limitation

Participants are permitted to receive a maximum of $1,000 per calendar year in compensation in connection with the IRA Incentive program.

4. Qualification

To qualify for the promotional account rewards, the Eligible Client must do the following:

1. Sign up to open a Wahed Account; 
2. Fund an IRA account within 60 days of receiving the first marketing communication After the campaign ends, there will be a 30-day cooling-off period. Following this, Wahed will process your reward within an additional 30-day period.  
3. In order to qualify for the specified Program reward(s), you must agree to open an Individual Investment Account if you do not already have one. The receipt of the Program reward(s) is subject to the Terms & Conditions of this Program.

Wahed is not responsible for an incorrect entry or other failure on the part of the Eligible Client’s creating a new account of failure to comply with each part of these requisite Terms & Conditions.

5. Compliance

In connection with your participating in the Program, you agree to the restrictions listed below:

• No spam – You agree that you will not “spam” anyone to join Wahed either by mass emailing, use of automated systems, bots or automatic dialers, and not post Referral links on websites or events or venue pages without express consent from the owner. You also agree not to engage in any device or scheme that results in “spam’’;
• No misrepresentations - You agree that you will not attempt to mislead anyone in connection with the Program. This includes, but is not limited to, creating fake accounts, profiles, links, or messages;
• Prohibited content - You agree that you will not use any defamatory, offensive, abusive, or obscene content in connection with Wahed. This includes, but is not limited to, content that violates someone else’s privacy and/or harassing content;
• No fraudulent activity - You agree not to defraud or abuse, or attempt to defraud or abuse, anyone in connection with the IRA incentive program. You agree also not to engage in any activity that may be fraudulent, deceptive, or manipulative; and
• No misuse of Wahed’s content - You agree not to sell Wahed’s promotions or create websites, email addresses or social media with Wahed’s name, images, or content without Wahed’s express consent. Wahed’s content is not intended for distribution to, or use by, any person or entity in any jurisdiction where such distribution or use would be contrary to law or regulation or which would subject Wahed or any of Wahed’s products or services to any authorization, registration, licensing, or notification requirements within any jurisdictions outside those jurisdictions in which Wahed and its affiliates are licensed to operate.

At Wahed’s sole discretion, violations of any of these restrictions may result in termination of your eligibility to participate in the Cash Bonus earned in violation or suspected violation of these restrictions, pursuant to these Terms & Conditions.

6.       Termination

This promotion by the Program is not valid with any other offers and is non-transferrable. This promotion may not be combined with other programs offered by Wahed. Wahed reserves the right to:

• change or terminate this offer at any time, without notice;
• to limit the amount of account rewards you are eligible to receive;
• to refuse or recover any promotion award if Wahed determines that was obtained under fraudulent circumstances, and inaccurate and/or incomplete information provided by a Client; and Wahed may also deem, at its sole discretion, when any terms of the Client Investment Agreement appear to have been violated;
• modify or amend these Terms & Conditions at any time and without notice;
• to audit all offers to ensure that the terms and conditions of the Program have been met and to request additional information regarding any and all claims / supporting documents;
• to stipulate, per these Terms & Conditions, that the qualification period is limited to 60 days. In order to receive the promotional account rewards, a Client must meet, as stated previously, the qualification requirements during the qualification period;
• to allow Wahed unilaterally to make final binding decisions in respect of all aspects of the Program; and
• To note the Eligible Client should seeks its own financial and/or tax advice relating to the issuance of bonus funds, as said funds may be deemed taxable income to you, and that the Eligible Client, consequently, will be responsible for any, including but not limited to, federal, state and/or city taxes that may result from a client’s receipt of bonus funds.

7. Wahed’s Registration

Wahed represents and warrants to you that it is registered with the Securities and Exchange Commission (‘’SEC’’) under the Investment Advisers Act of 1940 as a Registered Investment Adviser. Such SEC registration does not denote any level of investment sophistication, nor should it be deemed as an endorsement of Wahed by the SEC in any way or manner.

You acknowledge and agree that Wahed has provided you a link to the most recently filed version of its Form ADV Part 2A, the Firm’s Wrap Fee Brochure.

9. Legal and Regulatory History

You represent and warrant to Wahed that you are not a person: (A) subject to an SEC order issued under section 203(f) of the Act, or (B) convicted within the previous ten years of any felony or misdemeanor involving conduct described in section 203(e)(2)(A) through (D) of the Act, or (C) who has been found by the SEC to have engaged, or has been convicted of engaging, in any of the conduct specified in paragraphs (1), (5) or (6) of section 203(e) of the Act, or (D) is subject to an order, judgment or decree described in section 203(e)(4) of the Act.

10. Dispute Resolution, including Pre-Dispute Arbitration Clause

All controversies that may arise between you and Wahed concerning any subject matter, issue, or circumstance whatsoever (including controversies concerning any account, order, or transaction, or the continuation, performance, interpretation, or breach of this, the other Agreements, or any other agreement between you and Wahed, whether entered into or arising before, on, or after the date this account is opened) shall be determined by binding arbitration through the American Arbitration Association (“AAA”). You acknowledge that judgment upon any arbitration award may be entered in any court of competent jurisdiction.
